We3Oversee LLC End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User,” “You,” or “Your”) and We3Oversee LLC (“We3Oversee LLC,” “Company,” “Us,” or “Our”), governing Your use of the We3Oversee LLC integration with QuickBooks Online and any related software, services, or content (collectively, the “Application”).


By connecting, accessing, or using the Application, You agree to be bound by this Agreement. If You do not agree, do not install, access, or use the Application.

1. License Grant

We3Oversee LLC grants You a limited, non-exclusive, non-transferable, revocable license to use the Application solely for Your internal business purposes, in accordance with this Agreement and the terms of service for QuickBooks.

2. Restrictions

You may not:

  • Copy, modify, distribute, or reverse engineer the Application or any part of it;
  • Use the Application for any unlawful, fraudulent, or unauthorized purpose;
  • Access or use the Application in a manner that could harm or interfere with QuickBooks, We3Oversee LLC, or other users.

3. Ownership

All intellectual property rights in the Application remain the exclusive property of We3Oversee LLC. Nothing in this Agreement transfers ownership of any intellectual property rights to You.

4. Data Access & Privacy

By connecting Your QuickBooks account, You authorize We3Oversee LLC to access financial and transactional data necessary to provide services such as invoicing, vendor payments, and reporting.


We3Oversee LLC will handle all data in compliance with applicable privacy laws and our Privacy Policy. We do not sell or share Your data with third parties, except as required to deliver services or comply with law.

5. Third-Party Services

The Application connects to QuickBooks Online, a third-party platform owned by Intuit Inc. Your use of QuickBooks is subject to Intuit’s own Terms of Service and Privacy Policy. We3Oversee LLC is not responsible for QuickBooks’ actions, availability, or performance.

6. Updates and Support

We3Oversee LLC may provide updates or improvements at its discretion. We are not obligated to provide ongoing support but will make reasonable efforts to maintain compatibility with QuickBooks.

7. Disclaimer of Warranties

THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE.” We3Oversee LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.


We3Oversee LLC does not guarantee that the Application will be error-free or uninterrupted.

8. Limitation of Liability

IN NO EVENT SHALL We3Oversee LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


Our total liability under this Agreement shall not exceed the amount paid by You (if any) for use of the Application during the preceding 12 months.

9. Termination

We3Oversee LLC may suspend or terminate Your access to the Application at any time, with or without notice, if You breach this Agreement or if Your QuickBooks access is revoked. Upon termination, You must stop using and uninstall the Application.

10. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of South Carolina, without regard to conflict of law principles.
